These Terms of Service govern access to and use of CodexFlow, the website at https://codexflow.io, and any related checkout, account, license, documentation, download, support, and digital delivery services operated by Nova Group Sp. z o.o.

1. About CodexFlow

CodexFlow is an independent developer workflow toolkit for repositories used with Codex or similar AI coding agents. CodexFlow provides repository workflow files, commands, skills, operating guidance, QA guardrails, runbooks, handoff files, signed activation materials, protected payload access, and related documentation.

CodexFlow is a digital software and workflow product. No physical product is shipped when a customer purchases a CodexFlow digital license.

CodexFlow is independent and is not affiliated with, endorsed by, sponsored by, or operated by OpenAI or any governmental authority.

2. Customers and account eligibility

You may use CodexFlow only if you can lawfully enter into a binding agreement. If you purchase or use CodexFlow on behalf of a company or other organization, you confirm that you are authorized to bind that organization.

Some parts of the website may require an account, authenticated session, secure access link, license token, or verified customer email. You are responsible for keeping your account credentials, secure access links, activation files, license materials, and repository contents confidential.

3. Product tiers and license scope

CodexFlow currently offers paid product tiers and public read-only demo materials. Demo materials are not an installer, license grant, activation file, payload archive, or unpaid product tier.

The Personal tier is for one individual user and is limited to non-commercial use. It includes access to the paid Individual payload, signed activation file, secure payload downloads, and install documentation. Personal does not include commercial use rights or team sharing.

The Standard / Commercial Solo tier is for one individual user using CodexFlow in solo commercial work. It includes access to the paid Individual payload, signed activation file, secure payload downloads, and install documentation. It allows solo commercial use by the licensed individual. It does not include team sharing, redistribution, resale, sublicensing, or multi-seat use.

Team, business, custom, or enterprise arrangements are available only where expressly offered by CodexFlow in writing. They are not included in Personal or Standard purchases unless a separate written agreement says so.

4. Order process

A paid order is placed when you select a paid tier, provide the required checkout details, accept the applicable checkout disclosures, and submit payment through the payment flow.

Before checkout, you may be asked to confirm:

  • the selected tier and its usage restrictions;
  • your customer email;
  • acceptance of these Terms and the applicable license terms;
  • acceptance of the Refunds Policy;
  • consent to immediate digital delivery and immediate performance;
  • acknowledgement that withdrawal and refund rights may be lost after digital content or digital services are delivered or performance begins, to the extent permitted by applicable law.

The website derives price, tier, license rights, entitlement, and fulfillment details from server-side product configuration. Client-side display or browser-modified values do not create different rights.

A confirmation page alone does not complete fulfillment. Paid digital fulfillment is triggered after verified payment confirmation and successful order processing.

5. Prices, taxes, and payment

Prices are displayed before payment. Prices may include or exclude VAT depending on the checkout configuration, customer location, VAT status, and applicable tax settings shown during checkout.

Payments may be processed by Stripe, Worldline, or another payment provider shown at checkout. Payment providers may process payment data, fraud-prevention data, authentication data, and transaction metadata according to their own applicable terms and privacy notices.

You must provide accurate billing, tax, VAT, company, and contact information. If you provide a VAT number or business details, you confirm that they are accurate and may be validated.

6. Digital delivery and service start

CodexFlow paid products are delivered digitally. After verified payment confirmation, CodexFlow may generate or provide access to:

  • a signed activation file;
  • a paid payload manifest;
  • a paid payload archive;
  • integrity metadata, hashes, or verification details;
  • install documentation;
  • a protected customer access page;
  • support and order evidence records.

By purchasing a paid digital product and giving the relevant checkout consent, you request immediate performance and immediate digital delivery. Once performance starts, access is generated, or digital content is made available, your right to withdraw or obtain a refund may be limited or lost to the extent permitted by EU and Polish consumer law.

7. Customer obligations

You agree to:

  • use CodexFlow only within the scope of the purchased tier;
  • keep activation files, access links, payload archives, and paid assets secure;
  • not share paid materials with unlicensed users;
  • not redistribute, resell, sublicense, publish, leak, or make paid CodexFlow assets publicly available;
  • not remove notices, signatures, hashes, access controls, or license restrictions;
  • not use CodexFlow for unlawful, fraudulent, abusive, harmful, or deceptive activity;
  • not attempt to interfere with payment, licensing, access, download, security, or fulfillment systems;
  • not upload or transmit malware, secrets, card data, or unnecessary sensitive data through support or website forms;
  • review, test, and approve code changes in your own repositories.

CodexFlow is a workflow layer. You remain responsible for your repository, code, development decisions, deployment decisions, legal compliance, and use of AI-generated or AI-assisted outputs.

8. Acceptable use

You may not use CodexFlow, the website, downloads, or support channels to:

  • violate applicable law or third-party rights;
  • infringe intellectual property rights;
  • misrepresent your identity, authorization, payment details, or intended use;
  • bypass access controls or license restrictions;
  • attempt unauthorized access to CodexFlow systems or customer areas;
  • scrape, overload, disrupt, reverse engineer, or probe the service except where expressly permitted by law;
  • distribute malware or harmful code;
  • build or operate deceptive, fraudulent, or abusive services.

CodexFlow may suspend or revoke access where reasonably necessary to protect customers, the operator, payment systems, intellectual property, or service security.

9. Intellectual property

CodexFlow, its paid payloads, activation materials, workflow assets, documentation, website content, brand assets, signatures, runbooks, commands, skills, and proprietary workflow content are owned by Nova Group Sp. z o.o. or its licensors.

Your purchase gives you only the license rights expressly granted for the selected tier. It does not transfer ownership of CodexFlow materials.

You retain ownership of your own repositories, code, content, and project materials. CodexFlow does not claim ownership over code you create in your own projects by using CodexFlow.

10. Third-party services

CodexFlow may rely on third-party services for hosting, analytics, consent management, authentication, payments, email delivery, fraud prevention, security, customer support, and similar operational purposes. These may include providers such as Cookiebot, Google, Plausible, PostHog, Clerk, Stripe, Worldline, hosting providers, email providers, and infrastructure providers.

Third-party services are operated under their own terms and privacy notices. CodexFlow is not responsible for third-party systems outside its reasonable control, but it uses them to operate, secure, measure, and improve the website and paid delivery process.

11. No professional advice or guaranteed outcomes

CodexFlow is developer tooling and workflow documentation infrastructure. It does not provide legal, tax, accounting, investment, financial, medical, cybersecurity certification, or professional engineering assurance.

CodexFlow may help structure repository memory, workflows, review steps, QA checklists, and handoffs, but it does not guarantee bug-free code, secure code, regulatory compliance, commercial results, productivity gains, approval by third parties, uninterrupted compatibility with third-party tools, or successful deployment.

12. Availability, updates, and changes

CodexFlow may update the website, documentation, product files, security controls, access flow, payment flow, or support process. Paid access may be temporarily unavailable due to maintenance, third-party outages, security events, payment-provider issues, hosting issues, or technical failures.

Where an issue affects paid delivery, CodexFlow will make reasonable efforts to restore access or provide support through support@codexflow.io.

13. Consumer rights and business customers

If you are a consumer in the European Union or Poland, you keep the mandatory rights that cannot be excluded by contract.

If you are a natural person entering into a contract directly connected with your business activity but the contract does not have a professional character for you under Polish law, certain consumer-style protections may apply where mandatory.

Business customers and professional users are treated as business customers to the extent permitted by law. For business customers, CodexFlow may apply stricter license, refund, limitation of liability, and evidence rules where permitted.

14. Refunds, cancellations, and complaints

Refunds and cancellations are governed by the Refunds Policy available on the website.

For digital products and digital services, immediate performance and delivery may begin after payment confirmation and checkout consent. Once access is generated, digital content is delivered, or performance begins, refund and withdrawal rights may be limited or lost to the extent permitted by law.

You may contact support@codexflow.io with complaints, refund requests, access issues, or support requests. CodexFlow aims to respond within up to 14 days.

15. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

To the extent permitted by law, CodexFlow is not liable for indirect loss, lost profits, lost revenue, lost data, business interruption, loss of goodwill, missed deadlines, unsuccessful deployments, repository damage caused by customer decisions, third-party service failures, or customer misuse.

For business customers, CodexFlow’s aggregate liability arising from a paid order is limited to the amount paid for the affected CodexFlow product, unless mandatory law requires otherwise.

16. Termination and access revocation

CodexFlow may suspend or revoke access if:

  • payment is reversed, refunded, disputed, or identified as fraudulent;
  • the license is misused;
  • paid materials are redistributed or shared outside the license scope;
  • access controls are bypassed;
  • the customer materially breaches these Terms or the applicable license;
  • continued access creates security, legal, payment, or abuse risk.

Termination does not affect rights and obligations that by their nature should continue, including intellectual property, payment, evidence, liability, confidentiality, dispute, and governing law provisions.

17. Governing law and jurisdiction

These Terms are governed by Polish law, subject to mandatory consumer protections that apply under EU or local law.

Consumers may bring claims in courts available under mandatory consumer-protection rules. Business customers agree that disputes may be handled by the competent courts for the registered seat of Nova Group Sp. z o.o., unless mandatory law provides otherwise.
